TERMS OF SERVICE

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and House And Land Packages Pty Ltd (ABN 92 631 641 408) ("HALP", "we", "us", or "our"). By accessing or using any of our websites, platforms, or services, you agree to be bound by these Terms.

For Advertisers (including agents, builders, and developers), these Terms also include the Listing Agreement, which is incorporated by reference. In the event of any inconsistency between these Terms and the Listing Agreement regarding listing specifics, the Listing Agreement shall prevail.

These Terms apply to all HALP platforms, including www.halp.com.au, www.boutiquedevelopments.com.au, associated mobile applications, and related websites within our network.

By accessing or using our services you acknowledge that you have read and understood these Terms, agree to be bound by them and our Privacy Policy, represent that you are at least 18 years of age, and represent that you have authority to enter into this agreement.

We reserve the right to modify these Terms at any time. When we make changes we will update the "Last Updated" date, notify registered users via email, and prominently display material changes. Changes take effect immediately upon posting (or as otherwise specified). Continued use constitutes acceptance.

2. Description of Services

HALP operates specialized property discovery and business directory platforms providing property services (house & land listings, off-the-plan, new development details, boutique showcases, school zone integration, calculators, mortgage broker connections, market insights), business directory services (freemium listings, enhanced visibility for premium subscribers, lead generation, profile management), and supporting services (alerts, saved searches, calculators, educational content, market data, CRM integration).

Information Platform. HALP is an information and advertising platform. We facilitate connections between property seekers and providers, aggregate and display property and business information, and provide tools to assist research. We are not a real estate agent, developer, builder, or financial advisor.

Lead Routing. When you submit an inquiry about a property listing, your inquiry goes directly to the listing agent, developer, or builder. HALP does not store, process, or access property-specific inquiries. When you use platform inquiry forms (Contact Us, Join Us, Advertise With Us), your information is collected and managed by HALP.

No Agency Relationship. HALP does not act as your agent, provide financial/legal/tax advice, have authority to bind you, guarantee accuracy of third-party listings, or control how listing agents use your information.

Service Availability. Services are provided "as is" and "as available". We may modify, suspend or discontinue services at any time. Our infrastructure includes AWS (hosting, backups), Synergywholesale (domains), Google Workspace (email), Stripe (payments), Pipedrive and ActiveCampaign (CRM), and Zapier (automation).

3. User Accounts and Registration

To access certain features you may need to create an account. You must provide accurate information, maintain the confidentiality of your credentials, be at least 18, hold only one account, and provide a valid ABN/ACN for business accounts. You are responsible for all activities under your account. We may suspend or terminate your account for breach, false information, fraud, non-payment, or extended inactivity. You may terminate your account at any time by contacting support@halp.com.au.

4. User Conduct and Prohibited Activities

You must comply with all applicable laws, use services only for lawful purposes, provide accurate information, respect intellectual property rights, and act in good faith when contacting providers or businesses.

You must not misuse the platform (bots, scrapers, interference, unauthorized access, reverse engineering, circumventing security), post harmful content (false/misleading info, malware, spam, phishing, impersonation), engage in illegal activities, harass or abuse users, or commercially misuse the platform (resale, competitive use, aggregation for competing platforms, multiple accounts).

Violations may result in account suspension or termination, content removal, legal action, reports to law enforcement, and permanent bans.

5. Property Listings and Information

Property listings are provided by developers, builders, real estate agents, project marketing companies and third-party data providers. HALP does not own or control third-party listings, verify all listing information, endorse any provider, or guarantee availability or pricing.

Property information may change without notice. Prices, availability and specifications are subject to change; images may not reflect final product; land sizes are approximate; school zone information is for reference only. Always verify critical information directly with the property provider.

No Warranties on Listings. We expressly disclaim all warranties regarding accuracy, completeness, currency, availability, fitness for purpose, title, condition or quality.

School Zone Information. Sourced from government databases and third-party providers; provided for general reference only; subject to change; not guaranteed to be current or accurate. Always verify with the relevant education department and individual schools.

6. Business Directory Listings

To advertise, you must hold a valid ABN or ACN, be a legitimate operating business, comply with applicable business and advertising laws, provide accurate information, and hold necessary licenses. Listings must accurately describe your services, include current contact information, use your own business name and logo, comply with Australian Consumer Law, and not contain misleading claims.

Listings must not promote illegal goods or services, make false claims, violate professional codes, engage in bait advertising, contain discriminatory content, or infringe third-party intellectual property.

Free listings provide basic directory presence. Premium subscriptions provide enhanced visibility, require monthly or annual payment, auto-renew unless canceled, and are subject to separate subscription terms. Business listings may be removed for breach, complaints, non-payment, unlicensed operation, or prohibited content.

7. Payment Terms (Advertiser Subscriptions)

Pricing for subscriptions, listings, promotions and add-ons is as displayed on our website and/or at checkout, or in the applicable Listing Agreement. Pricing is subject to change with 30 days notice. Fees are in Australian Dollars (AUD). Prices are displayed exclusive of GST unless otherwise stated; GST will be added at checkout where applicable.

Payments are processed via Stripe (PCI-DSS Level 1 certified). Subscriptions auto-renew unless canceled. Payment failures may result in service suspension.

Cancellation and Refunds. Cancel anytime before your next billing date. Cancellation takes effect at the end of the current billing period. No refunds for voluntary cancellations. Pro-rata refunds for technical issues preventing service access. Refunds processed within 14 business days.

If payment fails we will retry, may suspend your account after 7 days, and may remove your listing after 14 days. You remain liable for unpaid fees.

8. Intellectual Property Rights

All content and materials on our platforms are owned by HALP or licensed to us, including "HALP", "House And Land Packages" and "Boutique Developments" trademarks, website design, software, algorithms, text, graphics, images, videos, data compilations and school zone data aggregations.

We grant you a limited, non-exclusive, non-transferable, revocable license to access our platforms for personal, non-commercial purposes. You may not reproduce, distribute, modify, or commercially use our content without permission.

User-Generated Content. You retain ownership of content you submit and grant us a worldwide, royalty-free license to use, reproduce, modify and display it. You represent you have rights to grant this license.

9. Disclaimers and Limitations

No Professional Advice. HALP does not provide financial, mortgage, investment, legal, tax or real estate advice. Calculators provide estimates only.

Third-Party Relationships. HALP facilitates connections but does not control third parties, is not responsible for their conduct, and is not party to contracts between you and them.

Data Accuracy. Information may contain errors or be outdated. We are not liable for decisions based on our information.

Service Availability. We do not guarantee continuous, uninterrupted, error-free access. Our platform relies on third-party services including AWS and Stripe.

Payment Security. We use industry-standard security and PCI-DSS compliant processors but cannot guarantee absolute security.

10. Limitation of Liability

To the maximum extent permitted by law, HALP and its directors, officers, employees and agents are not liable for direct damages (lost profits, revenue, data, business opportunities, cost of substitute services), indirect damages (consequential, incidental, special, punitive), or any damage arising from your use of our services, errors, third-party conduct, unauthorized account access, service interruptions or property transactions.

Where liability cannot be excluded by law, our total liability is limited to $100 AUD for free services, or for paid services the lesser of the amount you paid us in the prior 12 months or $1,000 AUD.

Nothing in these Terms excludes rights under the Australian Consumer Law. Where the ACL applies, our liability for breach of consumer guarantees is limited (at our option) to re-supplying the services or paying the cost of re-supply.

You agree to indemnify and hold harmless HALP from claims arising from your breach of these Terms, violation of law or third-party rights, use of our services, content you submit, or interactions with other users.

11. Dispute Resolution

Before initiating legal proceedings, contact legal@halp.com.au and allow 30 days for informal resolution. These Terms are governed by the laws of New South Wales, Australia; you submit to the exclusive jurisdiction of NSW courts.

Optional arbitration under Australian Dispute Resolution Association (ADRA) rules is available, conducted in Sydney. To the extent permitted by law, disputes will be resolved on an individual basis and you waive the right to participate in class actions. Nothing prevents either party from seeking injunctive or equitable relief for IP infringement, breach of confidentiality, prohibited activities, or irreparable harm.

Property Listing Inquiry Flow. Your listing inquiries go directly to the advertiser; HALP does not store or process them and the advertiser's privacy policy governs. HALP provides the technology infrastructure and routes inquiries in real time.

Platform Inquiry Forms. For Contact Us, Join Us and Advertise With Us forms, HALP collects and stores your information in Pipedrive, ActiveCampaign and Google Drive; our Privacy Policy governs.

Advertiser Obligations. Listing agents and advertisers must comply with privacy laws, maintain their own privacy policy, use inquiry information only for legitimate business purposes, not spam or harass, and comply with the Australian Consumer Law and fair trading regulations.

12. General Provisions

These Terms, together with our Privacy Policy and any other policies referenced, constitute the entire agreement. If any provision is invalid, the remainder continues in effect. Our failure to enforce a provision does not waive that right. You may not assign these Terms without our written consent; we may assign to any affiliate or in connection with a merger, acquisition or sale.

Notices to you may be provided via email, our website, or in-app notifications. Legal notices to us must be sent to House And Land Packages Pty Ltd, 235 Glen Huntly Road, Elsternwick VIC 3185 — legal@halp.com.au. The English version of these Terms prevails.

13. Special Terms for Specific Services

Mortgage Calculators. Provide estimates only, not pre-approvals. Actual loan terms will be determined by lenders.

School Zone Data. Aggregated from public government databases; provided "as is"; subject to change. Always verify with the relevant education department and the school.

Property Alerts and Notifications. By subscribing you consent to email and SMS notifications. You can modify or cancel alerts anytime.

Home Loan Referrals. We may receive a referral fee or commission. Brokers are independent third parties. We do not guarantee loan approval.
